Bank’s dividend policy

A dividend is the part of the Bank’s net profit intended to be distributed among shareholders in proportion to the number of shares they own.
The Bank ensures payment of dividends in the following cases:
- When the Bank’s financial position is assessed as stable and/or positive and there are development prospects;
- When no prohibition on dividend payment is applied under the legislation of the Republic of Azerbaijan;
- When the relevant decision is adopted by the General Meeting of Shareholders of the Bank.
The part of profit, after deduction of applicable taxes, or a certain percentage of it to be paid as dividends is calculated in accordance with the established procedure and approved by the General Meeting of Shareholders of the Bank.
Before a decision on dividend payment is adopted, the Financial Market Supervisory Authority of the Republic of Azerbaijan is contacted and written consent for dividend payment is obtained.
Unless a different procedure is established by the General Meeting of Shareholders, dividend payment is made within 10 (ten) business days after the date of adoption of the decision.

PASHA Bank OJSC has an Anti-Bribery and Anti-Corruption Policy that defines the relevant principles and rules for protecting the Bank’s strong business reputation and identifying and preventing potential cases of bribery and corruption.
The policy applies to all employees, departments and branches of the Bank, as well as to persons who have business relations with the Bank or provide services on behalf of the Bank, external service providers, suppliers, their employees and business partners.
